By accessing or using our website, products, or services — including but not limited to AI voice receptionist services, SMS follow-up automation, webchat tools, and reputation management solutions — you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have such authority, you must not accept these Terms or use our services.

Description of Services

Biz Consults Inc provides AI-powered business tools for local small businesses, including but not limited to:

• AI Voice Receptionist — automated phone answering, lead qualification, and appointment booking
• Missed Call Text-Back — automated SMS follow-up for unanswered inbound calls
• AI Webchat — website-based chat automation for lead capture and customer service
• Reputation & Review Management — automated review request campaigns and monitoring
• CRM & Lead Management — pipeline tracking and lead scoring tools
• Affiliate Program — referral commission program for qualifying partners

We reserve the right to modify, suspend, or discontinue any service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Eligibility

Our services are intended solely for business use by individuals and entities that are at least 18 years of age and are operating lawful businesses. By using our services, you represent and warrant that:

• You are at least 18 years old
• You are using our services for legitimate commercial business purposes
• You have the legal right to enter into these Terms in your jurisdiction
• You will comply with all applicable federal, state, and local laws and regulations

We do not knowingly provide services to individuals under 18 years of age. If you believe a minor has registered for our services, please contact us immediately.

Account Registration

Fees and Payment

• Due and payable in advance of each billing period
• Non-refundable except as expressly stated in our refund policy

We reserve the right to modify pricing with 30 days' advance notice. Continued use of our services after a price change constitutes acceptance of the new pricing.

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable federal, state, local, or international law
• Send unsolicited communications, spam, or use our services to harass, abuse, or harm others

Violation of this section may result in immediate termination of your account without notice or refund.

AI Services & Automated Messaging

Our AI voice and SMS services involve automated communications on behalf of your business. By enabling these features, you represent and warrant that:

• You have obtained all necessary consents from individuals who will receive automated calls or text messages
• Your use of our automated messaging tools complies with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and all other applicable laws
• You will maintain appropriate opt-out mechanisms for all recipients
• The content of calls and messages sent through our platform does not violate any applicable law

We reserve the right to suspend or terminate access to our AI and messaging services if we determine, in our sole discretion, that your use violates applicable law or our acceptable use standards.

Intellectual Property

All content, features, and functionality on our website and platform — including but not limited to text, graphics, logos, icons, images, audio clips, software, and their arrangement — are the exclusive property of Biz Consults Inc or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our services solely for your internal business purposes in accordance with these Terms. You may not:

• Copy, modify, distribute, or create derivative works of our platform or content
• Use our trademarks, logos, or branding without prior written consent
• Remove or alter any proprietary notices or labels on our platform

Any feedback, suggestions, or ideas you provide to us regarding our services may be used by us without any obligation to you.

Confidentiality & Data

You may provide us with certain confidential business information in connection with your use of our services. We will maintain the confidentiality of such information and will not disclose it to third parties except as necessary to provide the services or as required by law.

By using our services, you grant us the right to collect, store, and process data generated through your use of our platform, including call logs, message records, and lead data, solely for the purposes of providing and improving our services. Our collection and use of personal data is governed by our Privacy Policy.

You retain ownership of your business data. We will not sell your customer data to third parties.

Disclaimers

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, error-free, or completely secure
• The results obtained from using our services will be accurate, reliable, or meet your expectations
• Any errors in our services will be corrected

AI-generated responses, call scripts, and automated messages may not be perfect. You are responsible for reviewing and approving the configuration of AI employees operating on behalf of your business.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIZ CONSULTS INC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Unauthorized access, use, or alteration of your transmissions or content
• Any matter relating to your use of our services

In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the three months preceding the claim, or (b) one hundred dollars ($100).

Indemnification

You agree to defend, indemnify, and hold harmless Biz Consults Inc and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services, including any automated communications sent through our platform
• Your violation of any third-party right, including any intellectual property or privacy right
• Any claim that your use of our services caused damage to a third party

Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to access and use our services will immediately cease
• Any outstanding fees owed to us become immediately due and payable
• We may delete your account data after a reasonable retention period

You may terminate your account at any time by contacting us at [email protected] or canceling through your account dashboard. Termination does not relieve you of any obligations incurred prior to termination.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina. You consent to personal jurisdiction in such courts and waive any objection to the laying of venue in such courts.

Changes to Terms

We reserve the right to modify these Terms of Use at any time. When we make changes, we will update the "Last updated" date at the top of this page and, for material changes, notify you via email or a prominent notice on our website.
